Terms and Conditions

These Terms and Conditions govern access to and use of Tripwise, a back-office management platform for travel agencies provided as software-as-a-service (SaaS). By registering and using the platform, you (and the agency you represent) accept these Terms in full.
1. Provider identification
The service is provided by:

Hereinafter, “Tripwise”, “we” or “the provider”.
2. Purpose and acceptance
Tripwise grants the agency and its users a limited, non-exclusive, non-transferable and revocable license to use the platform for the agency's own professional travel-management purposes, subject to these Terms.
Using the platform implies full acceptance of these Terms and of the Privacy Policy. If you do not agree, you must not use the service.
3. Definitions
- User — the natural person who accesses the platform with their own credentials.
- Agency — the natural or legal person holding the account that uses the service for its activity.
- Passenger / Client — the person whose data the Agency loads and manages on the platform.
- Subscription — the contracted plan that enables access to the service for a period.
4. Registration and account
Using the service requires registering an account with truthful, complete and up-to-date data. The User is responsible for keeping their credentials confidential and for all activity carried out with their account.
The Agency may invite other users and assign them roles and permissions. The Agency is responsible for the use its users make of the platform.
You must notify us immediately of any unauthorized use of the account.
5. Plans, subscription and payments
The service is offered through subscription plans (for example, Starter, Professional, Business and Enterprise), with the features and limits published on the site.
- The service may include a trial period; when it ends, access continues only if there is an active subscription.
- The recurring subscription charge is processed through Mercado Pago. Subscribing implies authorizing that periodic charge.
- Prices may be expressed in US dollars and charged in Argentine pesos at the applicable exchange rate, which may be adjusted periodically.
- The subscription renews automatically at the start of each period until cancelled.
- Plan changes take effect under the conditions of the chosen plan and of the payment provider.
- In the event of non-payment, access may be suspended after a grace period.
- Unless otherwise required by law, amounts already paid for ongoing periods are non-refundable.
6. Acceptable use
The User and the Agency agree not to:
- Use the platform for unlawful or unauthorized purposes.
- Load data for which they have no right or legal basis to process.
- Attempt to breach security, access other agencies' data or interfere with the service's operation.
- Reverse-engineer, copy or resell the software, except where expressly permitted by law.
- Overload the infrastructure through abusive or disallowed automated use.
7. Data Processing Agreement
For the passenger and client data the Agency loads onto the platform, the Agency is the data controller and Tripwise acts as processor, under Ley 25.326. In that capacity, Tripwise:
- Processes that data solely to provide the service and per the Agency's instructions.
- Maintains confidentiality and applies reasonable security measures.
- May engage sub-processors (infrastructure, email, payment and invoicing providers) described in the Privacy Policy.
- Reasonably assists the Agency with data-subject requests and with requirements from the supervisory authority.
- On termination, deletes or returns the data in accordance with the law and applicable tax-retention periods.
The Agency represents that it has a legal basis and, where applicable, the passengers' consent to load and process their data on the platform.
8. Electronic invoicing
The platform allows issuing electronic invoices before the tax authority (ARCA / AFIP). The Agency is solely responsible for the truthfulness and correctness of the tax data it loads, for the proper use of the tool, and for compliance with its tax obligations.
Tripwise provides the issuing functionality but is not the tax-liable party for the invoices nor for the Agency's tax obligations.
9. Intellectual property
The software, the “Tripwise” trademark, the design and all platform content are owned by the provider or its licensors. These Terms transfer no intellectual property rights beyond the license to use granted here.
Data loaded by the Agency remains the Agency's (or the relevant data subjects').
10. Service availability
We strive to keep the service continuously available, but interruptions may occur due to maintenance, updates or causes beyond our control. The service is provided “as is” and “as available”, to the maximum extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, Tripwise shall not be liable for indirect damages, loss of profit, loss of data or harm arising from the use of or inability to use the service. Total liability, if any, shall be limited to the amounts actually paid by the Agency in the twelve months prior to the event giving rise to the claim.
12. Suspension and termination
We may suspend or terminate access for breach of these Terms, non-payment or misuse of the service.
The Agency may cancel its subscription at any time; cancellation takes effect at the end of the paid period.
After termination, the Agency may request the export of its data for a reasonable period; thereafter, the data is deleted or kept only as required by applicable legal obligations.
13. Changes to the Terms
We may amend these Terms to reflect changes in the service or in regulations. We will publish the current version on this page with its update date. Continued use of the service after the changes take effect implies acceptance of them.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Argentine Republic. For any dispute, the parties submit to the competent ordinary courts of [JURISDICCIÓN], waiving any other venue.
